Terms of Service

Welcome to ReleaseOS. These Terms of Service ("Terms") are a binding legal agreement between VA SHIFT LLC dba ReleaseOS ("ReleaseOS," "we," "us," or "our") and the person or entity using our services ("Customer," "you," or "your").

BY CREATING AN ACCOUNT OR USING THE SERVICES, YOU AGREE TO THESE TERMS, THE INCORPORATED DATA PROCESSING AGREEMENT (DPA), AND OUR PRIVACY POLICY.

1. The Services

ReleaseOS provides digital content analytics, release planning tools, and platform integration services (the "Services"). We grant you a limited, non-exclusive, non-transferable right to access and use the Services for your internal business or personal use.

2. Eligibility and Account Security

Authority: If you are using the Services on behalf of a company or record label, you represent that you have the authority to bind that entity to these Terms.
Security: You are responsible for maintaining the confidentiality of your login credentials. You must notify support@releaseos.io immediately of any unauthorized access.

3. Data Processing & Privacy

DPA Incorporation: Our processing of any Personal Data you provide is governed by the ReleaseOS Data Processing Agreement (DPA), which is hereby incorporated by reference into these Terms.
Privacy Policy: Our collection and use of your account information is governed by our Privacy Policy.

4. Third-Party Platform Integrations

The Services connect to third-party platforms including, but not limited to, Spotify, Google (YouTube), TikTok, Meta (Instagram), Apple Music, SoundCloud, and X.

Compliance: You agree to comply with the terms of service of each third-party platform you connect to ReleaseOS.
YouTube Specifics: By using YouTube integrations, you agree to be bound by the YouTube Terms of Service (https://www.youtube.com/t/terms).
No Affiliation: ReleaseOS is an independent service and is not endorsed by or affiliated with these platforms. We are not responsible for changes to their APIs that may affect Service functionality.

5. Fees and Payments

Billing: Services are billed on a subscription basis. All payments are processed securely via Stripe.
No Refunds: Except as required by law or stated in our Refund Policy, all fees are non-refundable.
Taxes: You are responsible for all applicable taxes associated with your use of the Services.

6. Acceptable Use & Restrictions

You shall not, and shall not permit any third party to:

  • Use the Services for any illegal purpose or in violation of any platform's "Anti-Surveillance" policies.
  • No Scraping: Use bots, crawlers, or scripts to harvest data from the ReleaseOS interface.
  • AI Restriction: Use data exported from ReleaseOS to train, tune, or develop Artificial Intelligence or Machine Learning models.
  • Interference: Attempt to bypass any security measures or rate limits on our infrastructure (hosted on Base44).

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF VA SHIFT LLC (INCLUDING ITS OFFICERS, EMPLOYEES, AND SUB-PROCESSORS) FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS, THE DPA, OR THE SERVICES, WHETHER IN CONTRACT, TORT, OR OTHERWISE, IS LIMITED TO THE TOTAL AMOUNT PAID BY YOU TO RELEASEOS DURING THE THIRTY (30) DAYS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

8. Intellectual Property

Our Property: ReleaseOS owns all rights, title, and interest in the Services, including all software, logos, and trademarks.
Your Data: You retain ownership of the data you provide to the Services. You grant us a limited license to process this data solely to provide and improve the Services for you.

9. Termination

By You: You may cancel your subscription at any time.
By Us: We may suspend or terminate your access if you breach these Terms or if your use poses a security risk to the platform.
Effect: Upon termination, your right to use the Services ceases, and your data will be handled in accordance with our DPA deletion policies.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Delaware.
